What is Data room and who can access it?
Data room is a dedicated space connected to each company application where you can manage due diligence and other similar documents. Only admins and selected members whom you give access to the data room will be able to see them. You can also control whether the data room is shared with the company, which would allow you and the company to share documents with each other.
Who can access the Data room?
Data room's difference from "Internal documents" in Documents tab is the ability to pick and choose members who will have access to certain documents - e.g. confidential due diligence files or others, without taking away the applications' visibility from other members of the deal room.
Data room is accessible by all members who either
have admin rights
have "Full access" to companies
are selected as participants in the Data room
Members who do not meet at least one of the above criteria, will not see Data room tab at all.
Adding member as a participant in the Data room will not override member access settings. Members added as Data room participants need to have access to the application as well.
How do I add members to the Data room?
To choose which members have access to a specific data room, follow these steps:
Open an application
Click on the Data room tab
Click on the pencil on the right side of Participants
Choose individual members or member groups
Select your members
(optional) include company with "Limited access"
What can a company see in the Data room?
If you choose the "Limited access" option in Participants, a company will be able to upload documents directly to the data room by themselves. The company will not see any files the deal room members have uploaded, unless access for one file is specifically given when adding document, or editing document:
